Privacy, Data Protection, and Intellectual Property

TrackingAnalytics Infinity™ is a cloud based software and analytics solution provided by Assurety Consulting Inc., DBA Assurety Consulting & Solutions, Inc. ("Assurety") and hosted within Microsoft Azure.

Assurety respects the privacy and confidentiality of Customer Data. Any information, records, files, tracking events, operational data, personal information, or business information submitted to, processed by, or stored within TrackingAnalytics Infinity™ on behalf of iRhythm shall remain the property of the Customer or its licensors. Assurety shall use such information solely for the purpose of delivering, operating, supporting, maintaining, securing, and improving the services provided under the applicable agreement.

Assurety implements commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data from unauthorized access, alteration, disclosure, or destruction. Customer Data is encrypted in transit and at rest using industry standard security controls within Assurety's approved Microsoft Azure environment.

Notwithstanding anything to the contrary, TrackingAnalytics Infinity™, including without limitation:

• The software, source code, object code, databases, schemas, APIs, integrations, user interfaces, dashboards, reports, workflows, automation routines, algorithms, models, scoring methodologies, business rules, templates, configurations, and documentation.
• All enhancements, modifications, derivative works, upgrades, customizations, feature additions, and improvements developed by or for Assurety.
• All operational know how, methodologies, architectures, designs, analytics techniques, machine learning models, artificial intelligence components, processing logic, trade secrets, and proprietary technologies.
• All copyrights, patents, trademarks, trade secrets, and other intellectual property rights embodied therein.

are and shall remain the sole and exclusive property of Assurety Consulting & Solutions, Inc.

Except for the limited right to access and use the service during the subscription term, no ownership rights, intellectual property rights, title, or interest in TrackingAnalytics Infinity™ or any Assurety technology are transferred, assigned, or granted to the customer.

Customer shall not:

• Reverse engineer, decompile, disassemble, copy, reproduce, benchmark, scrape, extract, or attempt to derive the source code, architecture, methodologies, or underlying technologies of the solution.
• Use the solution, outputs, analytics, reports, or data structures to create a competing product or service.
• Remove, alter, or obscure any copyright, trademark, proprietary, or confidentiality notices.

Assurety may develop generalized knowledge, skills, experience, ideas, concepts, methods, processes, techniques, and know how acquired during the performance of services, provided Assurety does not disclose Customer Confidential Information. Such generalized learnings shall remain the exclusive property of Assurety.

Aggregated and anonymized operational, performance, utilization, security, and service metrics that do not identify the Customer or any individual may be used by Assurety for product improvement, capacity planning, benchmarking, security monitoring, analytics development, and service optimization.

Nothing in this Privacy Statement shall be interpreted as transferring ownership of TrackingAnalytics Infinity™, any derivative works thereof, or any Assurety intellectual property to the Customer.

Survival

The confidentiality, intellectual property, ownership, non reverse engineering, and trade secret protection provisions of this Privacy Statement shall survive termination or expiration of the services.
